TERMS AND CONDITIONS Effective Date: 01 January 2026
These Terms and Conditions (“Terms”) govern entry to and use of 6th Avenue Studio and related facilities operated by Saeed Enterprises, Inc. (“Venue Owner,” “we,” “us,” or “our”).
BY PURCHASING A TICKET, ENTERING THE PREMISES, OR PARTICIPATING IN ANY
EVENT, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.

1. CLICK‑THROUGH AND CONSPICUOUS NOTICE

For events using online ticketing, purchaser must affirmatively agree to these Terms via click‑through acceptance before completing purchase.
Physical copies and conspicuous notices are posted at: • Exterior entry doors • Interior entry points • Ticketing/check‑in areas
Entry into the Venue constitutes acknowledgment and acceptance of these Terms, whether or not the attendee has read them.

2. ASSUMPTION OF RISK

Attendance at events involves inherent risks, including but not limited to:
• Physical exertion • Dancing or energetic audience movement • Slips, trips, falls, and collisions • Loud music and lighting effects • Exposure to contagious illness • Interaction with other attendees, including intoxicated or impaired individuals
You voluntarily assume all risks associated with attendance and participation.

3. RELEASE OF LIABILITY

To the fullest extent permitted by law, you release and discharge Saeed Enterprises, Inc., its owners, officers, employees, agents, affiliates, contractors, and event renters from any and all claims, demands, damages, liabilities, injuries, losses, or causes of action arising from or related to your presence at or participation in any event, except for claims arising solely from the Venue Owner’s gross negligence or willful misconduct.
CALIFORNIA CIVIL CODE §1542 WAIVER:
You expressly waive California Civil Code §1542 and acknowledge that this release applies to unknown and unsuspected claims.

4. INTOXICATION AND SUBSTANCE POLICY
--------------------------------------
Illegal narcotics and controlled substances are prohibited on the premises.
Alcohol consumption is subject to event authorization and applicable law.
Attendees who arrive intoxicated or become impaired assume full responsibility for their conduct and safety.
Venue Owner has no duty to monitor impairment levels and may refuse entry or remove any person deemed intoxicated or unsafe.

5. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Venue Owner from and against any claims, damages, losses, liabilities, and expenses
(including attorney’s fees) arising from:
• Your conduct at the Venue • Injury to yourself or others caused by you
• Violation of these Terms • Intoxication or impairment, regardless of where substances were consumed

6. CODE OF CONDUCT
--------------------
The following are prohibited:
• Illegal drugs or paraphernalia • Weapons of any kind • Dangerous or disruptive behavior • Harassment or assault • Unauthorized recording
equipment where restricted • Any conduct posing safety risk
Venue Owner reserves the right to refuse entry or remove any person at its discretion without refund.

7. MEDIA, RECORDING, AND CONTENT OWNERSHIP

By entering the Venue, you grant Venue Owner a perpetual, worldwide, irrevocable, royalty‑free license to capture, use, reproduce, modify, distribute, display, and sublicense your image, likeness, voice, and appearance for promotional, commercial, or archival purposes.
All audio, video, photographic, and digital recordings created within the Venue during events are subject to Venue Owner oversight.
Venue Owner reserves the right to require removal of any content recorded at the Venue that it deems inappropriate, unlawful, unsafe, harmful to minors, or damaging to the Venue’s reputation.
Where recordings become commercially valuable, Venue Owner retains the right to require licensing terms or revenue participation as a condition of continued distribution.
Failure to remove content upon written demand constitutes material breach.

8. TICKET TERMS INTEGRATION

If ticket terms conflict with these Terms, these Terms control. Event renters are required to incorporate these Terms into their ticketing materials.
Failure by a renter to do so does not invalidate these Terms as applied to attendees.

9. NO BAILMENT

Venue Owner is not responsible for loss, theft, or damage to personal property.

10. ARBITRATION AND DISPUTE RESOLUTION

Any dispute arising from these Terms or attendance at events shall be resolved exclusively by binding arbitration in Monterey County,
California. You waive the right to participate in class actions or jury trials.

11. GOVERNING LAW

These Terms are governed by the laws of the State of California.

12. SEVERABILITY
------------------
If any provision is held unenforceable, remaining provisions remain in full force and effect.

13. MODIFICATIONS
-------------------
Venue Owner may unilaterally update these Terms at any time. Continued use of the Venue after updates constitutes acceptance of revised Terms.
